Sword Health to Acquire Headspace in All-Cash Deal

Sword Health plans to acquire digital mental health company Headspace in an all-cash transaction, bringing together two major virtual care platforms spanning physical and behavioral health. According to regulatory filings, Sword will acquire OrangeDot, Headspace's parent company, which will continue operating as a wholly owned subsidiary following the transaction. The deal is expected to close in September, subject to regulatory requirements and customary closing conditions.


The purchase price has not been officially disclosed in the regulatory filing, although reports indicate Sword could pay between $200 million and $300 million. Headspace's existing services—including behavioral health coaching, virtual therapy, psychiatry and on-demand meditation and wellness content—are expected to continue without interruption. The combination would give Sword a significantly larger presence in behavioral health while adding Headspace's established employer, health plan and consumer relationships to its virtual care ecosystem.


The acquisition represents another major expansion beyond Sword's original focus on digital musculoskeletal and physical therapy. The company has increasingly moved into mental health through products including Mind, which combines AI with mental health specialists, and Dawn, a direct-to-consumer conversational AI offering providing around-the-clock mental health support. Sword has also expanded into AI-powered care management through Sword Intelligence and developed wearable technology designed to identify indicators associated with depression and anxiety.


Headspace has undergone a similar transformation from a consumer meditation app into a broader digital behavioral health provider. Its 2021 merger with Ginger added behavioral health coaching, therapy and psychiatry, while subsequent acquisitions expanded its mental wellness portfolio. More recently, Headspace has invested in AI through Ebb, its conversational mental health assistant, while increasingly focusing its commercial strategy on employers and health plans. The company reportedly generates more than $200 million in annual revenue and is EBITDA profitable.


For Sword, the proposed transaction follows its $285 million acquisition of digital therapeutics company Kaia Health earlier this year and partnerships with national healthcare systems in Greece and Portugal. Combining Headspace's behavioral health infrastructure with Sword's physical therapy, AI and care management capabilities could position the company as a broader integrated virtual care provider spanning physical and mental health.
