Agilent Technologies has announced an agreement to acquire digital pathology software company Proscia in an all-cash transaction valued at $240 million upfront, with an additional $30 million contingent on future performance milestones. The acquisition is intended to strengthen Agilent’s position in digital pathology and expand its capabilities in artificial intelligence-enabled tissue analysis and precision medicine.
The transaction will bring Proscia’s Concentriq software platform into Agilent’s portfolio. Concentriq serves as a central operating system for digital pathology, enabling laboratories, hospitals and pharmaceutical companies to manage pathology images, data and workflows. The platform currently supports more than 4,000 organisations across the United States and Europe.
Unlike pathology software solutions focused primarily on specific diseases, including cancer, Concentriq supports a broader range of clinical diagnostic applications and life sciences research activities. Its architecture also accommodates third-party AI applications, allowing users to integrate computational analysis tools into existing pathology workflows.
The acquisition builds on an established commercial relationship between the companies. In September 2022, Agilent and Proscia entered into a multiyear distribution agreement to provide integrated digital diagnostic pathology solutions. The proposed acquisition represents a further expansion of that collaboration.
"Digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application across biopharmaceutical research, clinical development, and diagnostics, and our acquisition of Proscia meaningfully expands our presence in this fast-growing market," said Agilent President and CEO Padraig McDonnell.
"The acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation in a workflow that supports biomarker research through routine clinical use. With Proscia's leading platform and talented team, we will be better equipped to help laboratories and biopharma customers manage and derive insights from pathology data."
Through the transaction, Agilent aims to connect pathology data generation with AI-supported interpretation across research, clinical development and routine diagnostics. The integration could support pharmaceutical companies conducting biomarker research while providing clinical laboratories with additional tools for managing and analysing digital pathology information.
The acquisition also reflects Agilent’s broader strategy of expanding its capabilities across laboratory technologies, diagnostics and data-driven healthcare applications.
