Anthropic has filed a registration statement with the U.S. Securities and Exchange Commission for a proposed initial public offering (IPO), with plans to list its Class A common stock on the Nasdaq Global Select Market under the ticker symbol ANT. The company has not yet disclosed the number of shares it intends to offer or the expected price range.
The filing highlights Anthropic's rapid financial growth, with revenue reaching $16.3 billion during the first six months of 2026, compared with $1.2 billion during the same period in 2025. Full-year revenue increased from $386 million in 2024 to $4.6 billion in 2025. The company also reported a reduction in operating losses, from $2.1 billion to $693 million year over year, although compute and infrastructure expenses reached $8.9 billion in the first half of 2026.
Despite improving operating performance, Anthropic reported a net loss of $80.7 billion, largely driven by $72.4 billion in fair-value adjustments related to convertible notes, derivatives and other financing instruments associated with its rising valuation. The company plans to use IPO proceeds to fund operations, expand computing infrastructure, recruit and retain employees, and potentially support acquisitions and strategic investments.
The registration statement also outlines significant risks associated with Anthropic's growing presence in healthcare and life sciences. The company warned that errors or unexpected outputs from its AI models could contribute to patient harm, compromise scientific research or create regulatory compliance challenges. Anthropic also acknowledged that some healthcare applications of its technology could become subject to additional regulatory requirements, potentially requiring product modifications, authorizations or increased compliance spending.
Beyond healthcare, the filing identifies broader risks involving cybersecurity, privacy, intellectual property, AI safety and corporate governance. Under its proposed governance structure, a founder-controlled entity would retain 50.1% of voting power on most shareholder matters, maintaining substantial founder influence after the company goes public.
The planned IPO comes as major AI developers face growing scrutiny over safety, regulation and the financial demands of building advanced models. While Anthropic is moving toward a public listing, OpenAI has reportedly delayed its own IPO plans to prioritize AI safety and alignment work.
