Universal Health Services Completes $835M Talkspace Acquisition

Universal Health Services (UHS) has completed its $835 million acquisition of virtual behavioral healthcare company Talkspace, significantly expanding its digital mental health capabilities. Following regulatory approval, Talkspace will operate as a subsidiary of UHS, which runs hundreds of acute care, behavioral health and outpatient facilities across the U.S. and internationally. The deal brings together a large physical behavioral health network with one of the country's most established virtual therapy platforms.


Talkspace provides virtual therapy through video, voice, live chat and asynchronous messaging, with services available across all 50 states, Washington, D.C., and Puerto Rico. Its network includes approximately 6,000 licensed providers treating more than 150 behavioral health conditions, including anxiety, depression, ADHD, bipolar disorder, PTSD, OCD and eating disorders. The platform also offers psychiatry, medication management and AI-enabled mental health support through health plans, employers, schools, government organizations and direct-to-consumer channels.


UHS says the acquisition will help create a more connected behavioral health continuum spanning virtual therapy, outpatient services, specialized treatment and inpatient care. Patients could potentially enter the system through Talkspace's digital services and transition into higher-acuity UHS care when necessary, while individuals leaving inpatient treatment could access virtual services for ongoing support. The combination also gives UHS a larger digital footprint as healthcare organizations increasingly blend virtual and in-person behavioral health services.


The acquisition follows continued growth in Talkspace's payer business. Last year, the company reported $228.9 million in revenue, up 22% year over year, with payer revenue increasing 38% even as its consumer business declined. Talkspace has also expanded through partnerships with organizations including Amazon Pharmacy and the U.S. Navy and recently acquired peer-support platform Wisdo Health. With the transaction now closed, trading of Talkspace shares on Nasdaq has been halted.


For UHS, the acquisition comes amid continued financial growth. The health system reported second-quarter 2026 revenue of $4.64 billion, an 8.3% increase from the previous year, alongside net income of $358.4 million. Adding Talkspace gives the organization a nationwide digital behavioral health platform that complements its extensive physical care network and strengthens its ability to provide mental healthcare across different levels of acuity.
