Sword to Acquire Headspace in Deal Worth Up to $300M

Sword has signed a definitive agreement to acquire Headspace in an all-cash transaction valued at up to $300 million, bringing together its clinical AI Care platform with Headspace’s mental health, mindfulness and behavioral health services. The transaction is expected to close at the beginning of Q4 2026, subject to customary closing conditions.

The acquisition expands Sword’s multi-condition healthcare model, which has developed from its origins in digital musculoskeletal (MSK) care to include pelvic health, surgical prehabilitation, cardiometabolic conditions and clinical care operations. Adding Headspace introduces psychiatric support, text-based coaching, licensed therapy and mindfulness services to the platform.

Headspace brings a global footprint spanning 100 million lives across 200 countries and territories, alongside 20,000 enterprise customers. Its commercial network includes employers, public-sector organizations, sports partnerships and health plan integrations with organizations including Cigna Healthcare and Kaiser Permanente. Headspace has also been evaluated through 84 peer-reviewed clinical studies covering areas including mindfulness, sleep and behavioral health.

The combined organization will connect Sword’s digital monitoring and clinical AI infrastructure with Headspace’s delivery network of more than 15,000 clinical providers, coaches, licensed therapists and telepsychiatrists. Sword also plans to deploy its longitudinal clinical memory models alongside MindEval and MindGuard, its open-source frameworks for evaluating clinical reasoning and safety in conversational therapeutic AI.

Sword currently serves more than 2,500 enterprise clients, including governments, the U.S. military and Fortune 500 employers. The acquisition creates opportunities to offer Sword’s MSK, women’s health and cardiometabolic services across Headspace’s commercial base, while extending Headspace’s employee assistance, navigation and telepsychiatry capabilities to Sword customers.

The transaction will fold Headspace parent entity OrangeDot into Sword and follows Sword’s previous $285 million acquisition of digital therapeutics company Kaia Health.
