Tempus AI has entered into a definitive agreement to acquire cancer genomics company Personalis in a transaction valued at approximately $1.5 billion, further expanding its artificial intelligence-driven precision oncology platform.
Under the agreement, Personalis shareholders will receive $16.25 per share, primarily in Tempus stock, with Tempus retaining the option to pay up to 50% of the consideration in cash. The offer represents approximately a 6% premium to Personalis’ closing share price on Friday and a 28% premium to its unaffected 30-day volume-weighted average share price. Tempus currently owns about 12.5% of Personalis.
The acquisition is expected to close in late 2026 or early 2027, subject to approval by Personalis shareholders, regulatory clearances and customary closing conditions. The boards of both companies have unanimously approved the transaction.
The deal will bring Personalis’ molecular residual disease (MRD) testing capabilities into the Tempus platform. Personalis’ NeXT Personal platform uses whole-genome sequencing to establish a personalized genetic signature of a patient’s tumour, enabling blood tests to detect circulating tumour DNA that may remain after treatment or signal disease recurrence. MRD testing is designed to identify traces of cancer that are too small to be detected through conventional imaging.

The acquisition builds on an existing relationship between the companies that began in 2023, when Tempus started offering Personalis’ tumour-informed MRD testing to pharmaceutical and biotechnology customers. The partnership expanded in 2025 to include commercialisation of NeXT Personal Dx for colorectal cancer.

The announcement follows Tempus’ continued expansion in oncology, including its 2025 acquisition of digital pathology company Paige and collaborations with pharmaceutical partners to apply AI and machine learning across cancer drug discovery, clinical trial matching and companion diagnostics.
